Counterparty due diligence

A full check on a counterparty before a deal — due diligence without collecting extracts by hand. The company, its director, founders and beneficial owners are checked against registers, court cases, debts, sanctions lists and media coverage. The service gathers the data; your lawyer and compliance team draw the conclusion about risk — from a report that is already there.

20+ checks on the director and shareholders
5 ₽ per check against a Russian register

Counterparty due diligence with NeuroVision: the data to the service, the conclusions to the experts

You choose the depth

The law sets no single due diligence methodology — the depth depends on the size and the term of the deal

  • 01

    What counterparty due diligence is

A full check on a company before a deal: legal, tax, financial, sanctions and reputational, plus a check on the people who run and own it. What the concept is and where it came from — in an article on due diligence.

  • 02

Gathering the data — the service's job

The longest part of due diligence is gathering the data: the register extract, the court case file, the bailiffs, Fedresurs, the sanctions lists — for the company and for every person. NeuroVision does it in a single API request and returns a report with a source and a verdict for every check.

  • 03

    The conclusions — people's job

The service does not judge whether a dispute is dangerous for your deal, does not read the articles of association or the contracts, does not verify that deliveries were real and gives no tax opinion. That is the work of a lawyer, a tax adviser and an auditor — with the report in hand, their time goes on conclusions rather than on searching.

  • 04

Not to be confused with a check by tax number

A check by tax number is a quick clearance before a contract, done entirely by the service. Counterparty due diligence is a decision on a significant deal: it adds beneficial owners, PEP lists, media coverage and documents, and the conclusion is an expert's. Due diligence for buying a business is run by consultants; the service supplies the data on people and registers.

  • 1 API request — the company and the people behind it
  • 6 lines of checking
  • 5 ₽ per check against a Russian register

Lines of counterparty due diligence: what the service takes on

A check can be assembled from six lines. In each of them the service covers gathering data from registers and lists, and a specialist makes the assessment.

  • Legal

The service: the company's status in the state registers, its date of registration, the director and the founders, commercial court cases of the company and of the people behind it.

The expert: the articles of association, the signatory's authority, title to assets, contract terms and licences.

  • Tax

The service: account freezes ordered by the tax service, tax arrears, signs of a nominee or serial director.

The expert: the deal's tax risks, source documents, whether performance was real.

  • Financial

The service: bankruptcy of the director and the founders, enforcement proceedings, individuals' debts.

The expert: the accounts, the debt load, the quality of revenue.

  • Sanctions

The service: the Rosfinmonitoring watchlist, the OFAC, EU, UK and UN lists, the foreign agents register, PEP lists — for the people behind the company.

The expert: the ownership and control rules along the chain of owners.

    Learn more
  • Reputational

The service: adverse coverage in the media, criminal, civil and administrative cases involving the director.

The expert: how reliable the source is and how much each finding weighs.

  • People and beneficial owners

The service: links between the director and the founders and other companies. Beneficial owners and the ownership structure — in the KYB scenario.

The expert: opaque chains and foreign links.

A checklist: the source and who does it, for every check

A counterparty due diligence checklist in the form that is easiest to hand on: what to check, where, and who does it. The service carries out the lines tagged «API» itself; the rest are for your specialists.

Due diligence step by step: from the tax number to the decision

Six steps, of which the first and the last fall to people: choosing the depth and taking the decision. Everything in between is the service's work.

Step 1

Set the depth

Choose a level — basic, extended or your own set of checks — to match the type of counterparty and the size of the deal. The set is saved and applied to every similar counterparty.

Choosing the level of counterparty due diligence
Step 2

Send the tax number

The tax number comes from the supplier card, the application or the CRM. The request goes to the API from your system, or is started through the KYB widget.

Starting a counterparty check by tax number
Step 3

The service finds the company

The tax number brings back the status, the date of registration, the director and the founders with their tax numbers, as well as the company's own court cases and account freezes.

The company found in the register: status, director and shareholders
Step 4

The people behind the company are checked

The director and the founders go through checks by tax number, with no namesakes, and by name: bankruptcy, commercial court cases, taxes, nominee status, watchlists, sanctions, PEP lists and media coverage.

Checking a company's director and founder
Step 5

The report arrives in your system

Every check comes back with a verdict — «passed», «not passed» or «not enough data» — the records found and the source. The result arrives by webhook, in JSON.

A due diligence report with the status of every check
Step 6

A specialist takes the decision

Clean counterparties move on under your rules; findings go to a lawyer or to compliance. The decision and the dated report are kept in the counterparty's file.

A specialist's decision on the counterparty saved in the file

The counterparty report: what your system receives

The report is not a PDF saying «reliable / unreliable» but a set of checks with a verdict, the findings and the source. It holds the company card, the check results for every person behind it, a verdict of «passed / not passed / not enough data», the records found with case number, amount, date and source, and the date and time of the check. A search by tax number carries no namesakes; a search by name separates exact matches from likely namesakes. The report is kept in your system, and the data is processed under 152‑FZ.

Due diligence documents: what the report evidences

Due care in choosing a counterparty is a common reason for due diligence. The Tax Code has no such term: in letter No. BV-4-7/3060@ of 10.03.2021 the Federal Tax Service speaks of «commercial care». A counterparty's own breach of tax law is not in itself grounds to disallow expenses or deductions (Tax Code, art. 54.1, cl. 3). The tax service suggests assessing business reputation, solvency, the risk of non-performance, resources and experience (cl. 15 of the letter), and where a company showed due care and did not know the counterparty was a «technical» one, there is no offence (cl. 20). The report records that a check was carried out, when and from which sources, but it does not guarantee the outcome of a tax inspection and does not prove that deliveries were real. • The criteria are from clause 15 of the letter of the Federal Tax Service of Russia of 10.03.2021 No. BV-4-7/3060@. The report does not cover «Resources and experience» and «Whether the deal was really performed» — you gather those documents yourself.

Due diligence by hand and through NeuroVision

  • Gathering the data, and namesakes

By hand — the register extract, the court case file, the bailiffs, Fedresurs and the sanctions lists, separately for the company and for every person, with a member of staff sorting out the namesakes. NeuroVision — one API request: the company and the people behind it, by tax number with no namesakes, and by name with exact matches kept apart from likely namesakes.

  • Recording the result and repeating the check

By hand — screenshots and extracts in a folder, the date being whenever they were saved, and a repeat means doing it all again. NeuroVision — a verdict, the records and the source for every check, in dated JSON, and a repeat is one API request.

  • Scale and cost

By hand — limited by your staff's time and by subscriptions to services. NeuroVision — the tax numbers go out of your system, each in its own request; 5 ₽ per register check, with no subscription fee.

Either way, weighing the findings is for a lawyer or compliance — with NeuroVision, from a report that is already there. We quote no savings figures — they depend on your process.

Who needs counterparty due diligence

Counterparty due diligence is needed where picking the wrong partner costs more than the check. The contents and the depth are configured for each scenario.

  • Banks, microfinance companies and payment services

    • Onboarding companies and sole traders: the director, the founders, the Rosfinmonitoring list
    • Beneficial owners and KYC of the representative in the KYB scenario
    • The report is kept for internal control
  • Procurement and supply

    • A supplier check before the contract and the advance payment
    • A file evidencing commercial care
    • Checking the whole supplier base through the API
  • Leasing and factoring

    • The lessee and the debtor before the decision on the deal
    • Bankruptcy, commercial court cases and account freezes
    • A check on the director acting as guarantor
  • Investment and M&A

    • Data on the people behind the company, for the consultants' team
    • Sanctions and PEP screening of the owners
    • Adverse coverage about the management
  • Lawyers, auditors, consultancies

    • A check on the parties to a deal while an opinion is being prepared
    • The report as source data, not as a conclusion
    • Less gathering by hand — more time for analysis

Questions about counterparty due diligence

A check on the company from the register and on the people behind it: the director and the founders by tax number (links, nominee status, bankruptcy, commercial court cases, account freezes, taxes) and by name (watchlists, sanctions, foreign agents, court cases). On request — PEP, sanctions from 50+ countries and adverse coverage, and in the KYB scenario — beneficial owners. What due diligence is and what kinds there are — in an article on due diligence.

A check by tax number is a quick clearance: registers, the director, the founders, and the decision is often automatic. Due diligence goes deeper: more lines of checking, PEP lists and media coverage, beneficial owners, the company's documents, and a specialist draws the final conclusion. Both checks run on one platform.

No. The service gathers and reconciles data from registers, courts and lists. The articles of association, the contracts, the accounts, whether deliveries were real and how material the risks are — all that is assessed by a lawyer, an auditor or a tax adviser, from the finished report.

There is no general duty: due diligence is the company's own decision. Organisations named in article 5 and the persons named in article 7.1 of 115‑FZ must identify their clients, their representatives and their beneficial owners. For tax purposes the tax service describes a standard of commercial care in choosing a counterparty.

The report records that the company checked its counterparty, when, and from which sources. Under tax service letter No. BV-4-7/3060@, where commercial care was shown and the company did not know the counterparty was «technical», there is no offence. But the report does not replace the contract, the source documents or confirmation of the signatory's authority.

Gathering the data is automatic. How long the whole check takes depends on the depth and on how long the specialists spend on the documents. There is no universal timescale for due diligence.

The cost adds up from the checks included: 5 ₽ per check against a Russian register, and 36 ₽ for PEP, sanctions from 50+ countries and media coverage. The basic set for a director and two founders — 135 ₽. Checks on the company and KYB — on request. There is no subscription fee.

Yes, in the KYB scenario: the representative names the owners with a stake above 25 %, and each of them goes through a check by link. The results land in the overall report on the company.

Directors and owners can be checked against the sanctions lists of OFAC, the EU, the UK and the UN, and in international PEP screening. A foreign company is checked in the KYB scenario against overseas registers.

Yes, a repeat check can be run through the API on a schedule. Counterparty monitoring with alerts on changes of status, of owners and on appearances on lists is part of KYB.

Yes. Through the API each tax number goes in its own request, and your system can send the entire base of suppliers or clients at the level of checking you need.
