What the law requires of leasing and factoring companies

Leasing companies and factors are subject to 115‑FZ, so KYC and AML are mandatory for them. They have no sector regulator: they are registered with Rosfinmonitoring and check their customers themselves. From 31 May 2026 mandatory control of sale-and-leaseback deals with individuals was added to that.
NeuroVision supplies the data for checking the customer, the guarantor and the other parties to the deal. The identification procedure, the decision on the deal, freezing and reporting to Rosfinmonitoring are set and carried out by the leasing or factoring company itself.

Who to check before the deal: six tasks

A leasing or factoring decision is never about one company — it is about every party to the deal. Here is what leasing and factoring companies check with us most often.

  • The lessee

The company is checked by tax number: its status in the register, its director and founders, signs of a shell company, court cases and debts. A sole trader is checked by their personal tax number: bankruptcy, court cases, account freezes, tax arrears.

What to check on the lessee, the guarantor, the debtor and the seller

A leasing deal rests on several people and companies at once. Every item can be checked by hand on the register websites, or in a single API request.

  • The lessee — a company or a sole trader

    • Status in the state registers: not in liquidation, not in reorganisation, date of registration
    • The director and the founders — who they are and how many other companies are registered to them
    • Commercial court cases: the company is a defendant in a debt claim, or already in bankruptcy
    • Account freezes ordered by the tax service and tax arrears — leasing refusals are tied to these more often than to old missed payments
    • A sole trader is checked by their personal tax number — the same checks as for a director
  • The director as guarantor, and the founders

    • A guarantor is liable to the lessor together with the debtor (arts. 361 and 363 of the Civil Code) — check them as strictly as the company
    • A sign of a nominee or serial director — the main signal of a shell company
    • Affiliation: where else the person is a founder or a director, and whether they are a sole trader
    • Bankruptcy, bailiff debts, tax arrears, court cases and wanted lists
    • Passport validity, the Rosfinmonitoring list and sanctions — by tax number, with no namesakes
  • The debtor in factoring

    • The money to the factor is paid by the debtor, not by the customer (art. 824 of the Civil Code): if the debtor is a shell company or bankrupt, the claim is worth nothing
    • Company by tax number: status, the director, the founders
    • Bankruptcy and commercial court cases — whether a claim is already being enforced
    • Overlap between the directors and founders and the factor's customer. The link shows when the same people run or own both companies
  • The seller and the leased asset

    • Pledges in the notary pledge register — by person: name and passport, or name and date of birth
    • Once there is an entry in the register, the pledgee may rely on the pledge, and a buyer will struggle to prove they did not know of it (arts. 339.1 and 352 of the Civil Code)
    • The seller's bankruptcy and bailiff debts: a deal over the property of a bankrupt can be challenged
    • A current leasing contract over the asset — from Fedresurs notices, by hand at fedresurs.ru; this check is not in the API yet
  • An individual customer in car leasing and car loans

    • Passport — validity against police data
    • Driving licence — validity, expiry, disqualification
    • Traffic fines, bailiff enforcement proceedings, bankruptcy, pledges
    • A reliability credit score from credit bureau data — only with the client's consent
    • Passport and licence are read from a photo — with no manual entry
  • Tractor units and special machinery on a leasing company's lot

Where to get the data on the parties to the deal

A shell company is given away by its director: checking the guarantor and the founders

  • A company or a sole trader

Company status, the director and the founders — from the register by tax number, in detail on the counterparty check page. A sole trader is checked by their personal tax number: bankruptcy, court cases, account freezes.

  • The director as guarantor

A nominee or serial director, bankruptcy, commercial court cases, bailiff debts and tax arrears. If the director signs the guarantee, a package of 16 checks by passport is available for 50 ₽.

  • Founders and links

Where else the person is a founder or a director, whether they are a sole trader, and whether they appear on the Rosfinmonitoring list or sanctions lists. By tax number, with no namesakes.

A company can be clean on paper,
while its director is a bankrupt with a dozen closed firms behind them.

How a leasing application is checked

The checks are built into your application form or CRM and return an answer before the deal goes to the credit committee.

Step 1

The tax number and the guarantor's passport

The company's tax number and those of the director and the founders are taken from the application. The passport of the director acting as guarantor is read from a photo, with no manual entry.

Step 2

The checks in a single request

The company by tax number, nominee status and links, bankruptcy, court cases, bailiff debts, pledges, watchlists and sanctions — for the company, the director, the founders, the debtor and the seller. Only what your risk policy requires.

Step 3

A file to decide on

For every check — the result, the source and the date, in JSON. Doubtful applications go to an underwriter, and the report is kept in the customer file for audit and for Rosfinmonitoring.

Sale and leaseback with an individual: what Rosfinmonitoring order No. 16 changed

Control from 31 May 2026

Rosfinmonitoring order No. 16 of 28.01.2026

  • 01

    What sale-and-leaseback is

The seller of the asset becomes the lessee — the law allows this (art. 4 of 164‑FZ). Companies use it to free up money tied in equipment, while for individuals the same structure can work as a loan secured on a car.

  • 02

    What falls under control

An asset is leased to an individual who sold it themselves or represents the seller, for an amount from 100,000 ₽ inclusive up to 1,000,000 ₽.

  • 03

    How and when to report

The leasing company files a 1‑FM report within 3 working days: code 6201 — the seller, 6202 — their representative. Similar control was already introduced by order No. 94 of 26.04.2023.

  • 04

What to check on the seller

The passport against police data, bankruptcy, bailiff debts, pledges in the notary register, wanted lists and the Rosfinmonitoring watchlist — before payment. Flagging the transaction and filing the report is the company's own job.

  • up to 1 million ₽ transactions from 100,000 ₽
  • 3 days working days to report
  • 730 days the regime applies

Registration with Rosfinmonitoring and a leasing company's internal control

Banks and microfinance companies are supervised by the Bank of Russia. Leasing and factoring companies have no sector regulator, so Rosfinmonitoring supervises them directly.

  • Registration

Leasing and factoring companies register under Government Decree No. 58 of 27.01.2014. The card is filed within 30 calendar days of registration or of a change, and no later than the working day before the first contract with a client. The decision takes up to 8 working days.

  • Internal control rules and a dedicated compliance officer

The company approves internal control rules and appoints the officer responsible (art. 7, cl. 2 of 115‑FZ). Since 10.08.2025 the requirements for those rules come from Government Decree No. 1157, and No. 667 has lapsed: if references to it remain, the rules need updating.

  • Customers and watchlists

Every client, representative and beneficial owner is identified before they are taken on. The base is matched against the Rosfinmonitoring watchlist and the Commission's decisions at least once every 3 months.

  • Reports and retention

Transactions subject to mandatory control — now including sale and leaseback with individuals — are reported within 3 working days. Identification details are kept for at least 5 years after the relationship ends (art. 7, cl. 4 of 115‑FZ).

A leasing and factoring glossary for the risk team

The lessee
A company, a sole trader or an individual that takes the leased asset into possession and use and pays on schedule.
Guarantor
A person or a company liable to the lessor for performance of the contract together with the lessee. In small business it is usually the director.
Debtor
In factoring — the customer's debtor. They pay the factor under the assigned monetary claim.
Factor
The party to a factoring contract that finances the customer against the assignment of a claim. Commercial organisations acting as factors are subject to 115‑FZ.
Sale-and-leaseback
A deal in which the seller of the asset becomes its lessee. With individuals and amounts of 100,000–1,000,000 ₽ it is subject to mandatory control.
Nominee director
A person who is  listed as the directorbut does not run the company. They are often listed as the director of many companies at once — then they are called a serial director.
The Notary Chamber pledge register
The public register of pledge notices over movable property, kept by the Federal Notary Chamber.
Fedresurs
The unified federal register of facts about the activity of legal entities. It holds notices about leasing contracts and bankruptcy records.
Mandatory monitoring
Transactions, which an organisation reports to Rosfinmonitoring regardless of suspicion — by type and amount.
KYT
Monitoring a customer's transactions. Leasing needs it less often than banks and payment services: there are few transactions and they follow a schedule.

Frequently asked questions about checking lessees and debtors

Yes. Article 5 of the law names leasing companies outright, along with commercial organisations that enter into contracts of financing against the assignment of a monetary claim as factors. They identify their customers and those customers' beneficial owners, screen them against the Rosfinmonitoring list and report transactions subject to mandatory control.

Yes. Leasing and factoring companies are among the categories that register under Government Decree no. 58. The card is filed within 30 calendar days of registration or of changes to the founding documents, but no later than the working day before the first contract with a customer.

The company itself — by tax number: status, the director and the founders, signs of a shell company, court cases and debts. And the people behind it: signs of a nominee director, links to other companies, bankruptcy, commercial court cases, account freezes and tax debts, watchlists and sanctions.

By tax number — nominee status, links to companies, bankruptcy, court cases, tax debts. By passport — a package of 16 checks for 50 ₽: passport validity, bailiff debts, bankruptcy, pledges, commercial court cases, court cases, wanted lists, the Rosfinmonitoring list and sanctions.

The assigned claim is paid by the debtor, not by the factor's customer. If the debtor is a shell company, a bankrupt or linked to the customer, the claim is worth nothing. The debtor is checked by tax number exactly as the customer is: the company, its director, its founders, bankruptcy and court cases.

Yes, against the register of pledges over movable property kept by the Federal Notary Chamber. The check is run on the person — the seller, an individual lessee or a sole trader: by full name and passport, or by full name and date of birth. It costs 5 ₽.

Since 31 May 2026 Rosfinmonitoring Order no. 16 of 28.01.2026 has been in force. If the seller of the property that becomes the leased asset is an individual or their representative, and the amount of the transaction is from 100,000 to 1,000,000 ₽, the leasing company reports it to Rosfinmonitoring on the 1‑FM form. The regime runs for 730 days.

The passport against the police database, the driving licence against the traffic police database, traffic fines, bailiff debts, bankruptcy, pledges and a creditworthiness score from credit bureau data. The score needs the customer's consent. The passport and the licence are read from a photo.

Details of leasing contracts are published on Fedresurs, and the asset can be checked at fedresurs.ru by hand. There is no such check in the NeuroVision API yet: we check the seller and the lessee against the pledge register, bankruptcy and debts.

Yes. The customer base is matched against the Rosfinmonitoring list at least once every 3 months, and customer details are updated once a year, or once every 3 years at low risk. A repeat check can be run through the same API.

In the NeuroVision cloud in Russia, or in your own infrastructure with an on-premises installation. 152‑FZ and 242‑FZ.

Checks against registers and lists cost from 5 ₽, compliance screening costs 36 ₽, and a package of 16 checks by passport costs 50 ₽. A company check by tax number and recognition are priced on request. The trial period is 1 month.
